Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the Contravi website, application, and related services (the "Service") provided by XYZ Private Limited ("Contravi", "we", "us", or "our"). By creating an account, clicking "I agree", or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation.
If you do not agree to these Terms, do not use the Service. Where you and Contravi have signed a separate Master Service Agreement, that agreement governs and prevails over these Terms to the extent of any conflict.

1. Beta service
The Service is made available on a beta basis. You acknowledge that it is not a finished product, may not operate as intended, may be incomplete or contain bugs, and may be changed, updated, suspended, or withdrawn at any time without liability to you. We do not provide any service-level commitment, uptime guarantee, or migration assurance during the beta period. You are responsible for retaining your own copies of important documents.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate registration information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at founders@contravi.ai of any unauthorised use.
3. Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service in violation of any applicable law or third-party right;
- Upload or transmit unlawful, infringing, defamatory, or malicious content, or any malware;
- Attempt to gain unauthorised access to the Service or its systems, or probe, scan, or test their vulnerability;
- Reverse engineer, decompile, or attempt to derive source code, except to the extent permitted by law;
- Resell, sublicense, or commercially exploit the Service except as expressly permitted; or
- Interfere with or disrupt the integrity or performance of the Service.
4. Your content and responsibilities
You retain all rights in the documents, data, and other content you upload or create using the Service ("Your Content"). You grant us a limited, non-exclusive, worldwide licence to host, store, process, transmit, and display Your Content solely to provide and improve the Service. You are solely responsible for Your Content, including ensuring you have all rights and lawful bases (and any necessary consents or notices) to process it through the Service, and for the accuracy and legality of the contracts and documents you create.
5. Electronic signatures
The Service may offer electronic signature functionality. You acknowledge that the legal validity and enforceability of an electronic signature depends on applicable law, including the Information Technology Act, 2000 and the Indian Contract Act, 1872, and that certain categories of documents (such as those listed in the First Schedule to the Information Technology Act, 2000) cannot be validly executed electronically. You are responsible for determining whether an electronic signature is appropriate for a given document, and the Service is provided as a tool only and not as legal advice.
6. Fees, beta access, and billing
Access to the Service during the beta may be offered free of charge or under promotional terms (for example, an introductory period of free access). Where fees apply, they will be presented to you before you incur them and are payable in advance unless stated otherwise. Usage-based charges (for example, charges per executed document beyond an included allowance) will be billed as described at the point of sign-up. Except as required by law, fees are non-refundable. We may change pricing on a prospective basis with reasonable notice.
7. Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that Feedback into the Service without restriction or obligation to you.
8. Intellectual property
The Service, including its software, design, text, graphics, and trademarks (but excluding Your Content), is owned by or licensed to Contravi and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. No rights are granted other than as expressly set out here.
9. Third-party services
The Service may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms. We do not endorse and are not liable for any third-party content or services.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND, GIVEN ITS BETA NATURE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS, AND WE DO NOT WARRANT THE LEGAL VALIDITY OF ANY DOCUMENT OR SIGNATURE CREATED USING THE SERVICE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRAVI AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE.
CONTRAVI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) INR 5,000. BECAUSE THE SERVICE IS PROVIDED ON A BETA BASIS, WHERE IT IS PROVIDED FREE OF CHARGE OUR LIABILITY WILL BE LIMITED TO INR 5,000.
12. Indemnity
Subject to and counting toward the limitation of liability in Section 11, you agree to indemnify and hold harmless Contravi from and against third-party claims, damages, liabilities, and reasonable expenses to the extent arising out of (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms or applicable law. This indemnity is conditioned on Contravi promptly notifying you in writing, giving you control of the defence and settlement (provided no settlement imposing any liability or admission on Contravi is made without its prior written consent, not to be unreasonably withheld), and providing reasonable cooperation at your expense.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, including if we reasonably believe you have breached these Terms, if required by law, or if we discontinue the beta. Upon termination, your right to use the Service ends. We will make Your Content available for export for a limited period where reasonably practicable, after which it may be deleted. Provisions that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnity) will survive.
14. Changes to these Terms
We may update these Terms from time to time, particularly as the beta evolves. We will post the updated Terms here and revise the "Last updated" date. Where changes are material, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of India. Subject to any applicable law, the courts at [City], India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and Contravi submit to that jurisdiction. The parties will attempt in good faith to resolve any dispute through discussion before commencing proceedings.
